Unless stated otherwise, quotes are valid only for the period specified in the quote or proposal. If no validity period is stated, we may update or withdraw a quote at any time before it is accepted.

Work outside the agreed scope may be charged separately. This may include additional pages, design changes, development tasks, revisions, integrations, troubleshooting, content, SEO work, meetings, or support not included in the original agreement.

5. Client Responsibilities

To complete work efficiently, clients may need to provide information, access, approvals, content, images, brand materials, feedback, and other resources.

Clients are responsible for:

• Providing access to websites, hosting, CMS, analytics tools, or other systems where needed
• Supplying text, images, logos, files, and other materials they want used
• Ensuring they have the rights to any materials they provide
• Reviewing and approving work in a reasonable timeframe
• Checking final work before launch, publication, or approval
• Complying with applicable laws, regulations, and platform policies

Delays in providing required information, access, or approvals may affect project timelines.

6. Payments and Invoices

Fees, payment terms, deposit requirements, billing schedules, and accepted payment methods will be stated in the relevant quote, proposal, invoice, or written agreement.

Unless agreed otherwise, payments must be made by the due date stated on the invoice. Late payments may delay delivery, launch, ongoing support, or further work.

We reserve the right to pause work, withhold deliverables, suspend services, or decline further work if invoices remain unpaid.

7. Refunds and Cancellations

Refunds and cancellations depend on the type of service, project stage, agreed scope, and work already completed.

Because many of our services involve custom strategy, consulting, design, development, SEO work, content creation, setup, or time-based work, fees for work already completed may not be refundable.

If a project is cancelled, the client may be responsible for payment for work completed up to the cancellation date, including planning, research, design, development, content, SEO, meetings, communication, and administrative time.

Any specific cancellation or refund terms agreed in writing for a project will take priority over this general section.

8. Revisions and Approvals

Projects may include a specific number of revisions if stated in the proposal or agreement. Additional revisions may be charged separately.

Once work is approved, published, delivered, or launched, further changes may be treated as additional work unless they are part of an agreed support or maintenance arrangement.

Clients are responsible for carefully reviewing work before approval, including text, images, links, layouts, forms, technical functionality, prices, contact details, legal pages, and any other important information.

9. Website Launches and Technical Work

For website development, redesign, migration, technical SEO, analytics, or tracking work, we take reasonable care to test and verify work before launch or delivery.

However, websites may depend on third-party hosting, plugins, themes, CMS updates, APIs, tracking tools, payment systems, email systems, security tools, or other external services outside our full control.

Unless agreed otherwise, we are not responsible for issues caused by third-party services, hosting outages, plugin conflicts, software updates, client-side changes, expired licenses, server problems, malware, or unauthorized access.

10. SEO and Marketing Results

We aim to provide high-quality SEO, content, website, and digital marketing work based on professional experience, research, and best practices.

However, search engine rankings, traffic, conversions, leads, revenue, indexing, AI visibility, platform performance, and advertising results depend on many factors outside our control.

We do not guarantee specific rankings, traffic levels, leads, sales, revenue, conversion rates, search engine placements, indexing outcomes, or business results unless expressly agreed in writing.

11. Third-Party Tools and Platforms

Our work may involve third-party tools or platforms such as WordPress, WooCommerce, Elementor, Google Analytics, Google Search Console, Google Tag Manager, hosting providers, plugins, SEO tools, analytics tools, email platforms, advertising platforms, or social media platforms.

12. Client Materials

Unless agreed otherwise in writing, all original work created by X-Wing Digital for a client will be transferred to the client after full payment has been received, except for pre-existing materials, third-party assets, licensed tools, reusable code, frameworks, processes, templates, know-how, and internal methods.

We retain ownership of our pre-existing materials, methods, templates, internal systems, ideas, concepts, know-how, and reusable components.

You may not copy, reproduce, resell, or redistribute our website content, designs, templates, code, documents, processes, or materials without written permission, except for content specifically delivered to you under a paid client project and subject to full payment.
